Terms of Service & Platform Operating Conditions
Commercial B2B Terms — Synthesis Tech Ltd
These Terms of Service and Service Level Agreement ("Terms", "Agreement") govern the commercial subscription, access, and use of the Speedy Tender project management and document analysis platform (the "Platform") provided by Synthesis Tech Ltd ("we", "us", "our"), a company registered in England and Wales under corporate address 5 Brayford Square, London, E1 0SG.
By registering a corporate profile, executing an order form, or permitting employees to upload tender documentation to the Platform, the subscribing corporate entity ("the Customer", "you") agrees to be legally bound by these terms. These Terms apply strictly to business-to-business (B2B) transactions; consumer statutory cooling-off rights do not apply.
1. Provision of Service and Workspace Access
- The Provider grants the Customer a non-exclusive, non-transferable, revocable right to access and use the Platform during the active subscription term solely for the Customer's internal construction bidding and procurement operations.
- The Customer shall ensure that all team credentials and passwords are kept strictly confidential. The Customer is entirely responsible for all project data actions, form submissions, and API interactions executed through its administrative workspace.
2. Intellectual Property Rights
- Platform Ownership: Synthesis Tech Ltd and its licensors retain all rights, titles, and proprietary interests in and to the Platform infrastructure, source code, user interfaces, documentation, and the core automation engine known as Velo.
- Customer Data Ownership: The Customer retains sole ownership of all raw data, drawings, corporate logs, bids, and documentation uploaded to the platform. The Customer grants the Provider a limited, secure, non-perpetual licence to host, parse, and process these materials solely to execute the software features requested by the Customer.
3. Data Confidentiality & AI Core Commitments
- The Provider shall maintain absolute confidentiality regarding all customer tender documentation and pricing models uploaded to the Platform.
- Algorithmic Integrity (No AI Learning): The Provider confirms that the Velo engine operates using isolated processing environments. The Customer’s commercial text, uploaded bids, requirements, and prompt queries are completely opted out of public model training and are never used by Google Cloud or third-party providers to train public models.
4. Subscription Fees, Invoicing, & VAT
- Commercial subscription fees are billed in advance on a recurring monthly or annual basis via our secure payment gateway, Stripe. Fees are denominated in Great British Pounds (GBP) and are subject to standard UK VAT.
- Non-Refundability: Except as explicitly stated within this Agreement, all payment obligations are non- cancellable and all fees paid are completely non-refundable once service has been provisioned.
- Late Payment: If subscription renewals fail or invoices remain unpaid for more than fourteen (14) days, the Provider reserves the statutory right to temporarily suspend multi-tenant workspace access until financial balances are resolved.
5. LIMITATION OF LIABILITY — CRITICAL BIDDING STIPULATION
Speedy Tender is an automated efficiency tool designed to assist bid managers with document processing and summary extractions. It does not replace independent professional human verification.
The Provider completely excludes financial or legal liability for any missed tender deadlines, submission rejections, procurement failures, calculation errors, or lost business profits incurred by the Customer. It remains the absolute and final responsibility of the Customer to review, verify, and confirm all structural information, dates, and documentation prior to hitting a live procurement deadline. Total liability under this contract is capped at the total subscription fees paid by the Customer in the 12 months prior to any claim.
6. Termination and Workspace Deletion
- Either party may terminate the subscription by providing written notice via the billing portal at least thirty (30) days prior to the next scheduled renewal period.
- Upon subscription termination, the Customer's workspace access will freeze. In compliance with our Data Minimisation standards, all underlying user data, document logs, summaries, and files will be permanently and irreversibly purged from our live Firebase London production environments exactly one (1) yearfollowing the final date of subscription end-date, unless manually deleted earlier by the Customer's workspace administrator.
7. Governing Law and Dispute Resolution
This Agreement, and any disputes arising out of or in connection with its content, shall be governed exclusively by, and construed in accordance with, the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of London.
Service Level Agreement (SLA)
This Service Level Agreement defines the core performance baselines and support structures guaranteed to the Customer during an active commercial subscription tier.
1. Target Uptime Commitment
The Provider targets a platform availability baseline of 99.5% Uptime during any given calendar month, excluding scheduled maintenance windows executed between 01:00 AM and 04:00 AM GMT.
2. Severity Levels and Response Windows
In the event of a platform degradation or performance incident, the Customer may lodge an emergency tracking ticket via support@speedytender.co.uk. The Provider targets the following operational response times during standard UK business hours (09:00 to 17:30, Monday to Friday):
| Severity Tier | Definition / Impact | Target Response | Target Workaround |
|---|---|---|---|
| Severity 1 (Critical) | The Platform is completely inaccessible, or core authentication fails, blocking users entirely from working. | Within 2 Hours | Within 4 Hours |
| Severity 2 (High) | A major platform feature (e.g., the Velo extraction engine) is down, but users can still log in and view historical projects. | Within 4 Hours | Within 8 Hours |
| Severity 3 (Normal) | Minor feature bugs, rendering anomalies, or subscription account modification issues. Workflows remain possible. | Within 24 Hours | Within 48 Hours |
3. Maintenance Notices
The Provider shall issue a minimum of forty-eight (48) hours advance system notice via the Platform dashboard or support email if an emergency structural upgrade requires taking the Firebase infrastructure offline outside our standard night-time maintenance window.
